Valiant divests O&M business to private equity firm

The newly independent Vulcan Government Services will focus on facility operations, maintenance, and logistics services.
Valiant Integrated Defense Services has sold its operations and maintenance division to the private equity firm Inspirit Equity.
The now independent company will operate as Vulcan Government Services and focus on facility operations, maintenance and logistics services.
Financial terms of the deal were not disclosed.
VGS provides logistics and facilities services for hospitals, medical facilities, research laboratories, and other critical infrastructure as well as chemical management and logistics support services.
Chuck Phillips will lead the business as CEO. He joined Valiant in 2023 as vice president and general manager of the operations and maintenance division.
“As a standalone company, we can operate with greater focus, agility and strategic flexibility," Phillips said in the company’s announcement. "Inspirit's support will allow us to continue investing in our people, expand our capabilities, and deliver the reliable service our customers count on every day."
The company plans to focus on organic growth while it looks for merger and acquisition opportunities, said Ryan Kanaley, managing director at Los Angeles-based Inspirit.
"Our job now is to give the team the resources and support they need to maximize their potential," he said.
An early priority is adding business development resources, expanding construction capabilities, and pursuing new opportunities in existing and adjacent markets.
The McLean Group acted as the exclusive financial advisor to Valiant O&M, Sidley Austin LLP served as legal counsel to Valiant, and Jones Day served as legal counsel to Inspirit Equity.
