Red River acquires cyber specialist

Red River, the digital transformation company owned by Cerberus Capital Management, has acquired a provider of cybersecurity and other technology services for defense and critical infrastructure-focused agencies.
Invictus opened for business in 2014 and touts its corporate cyber lab as the company’s arm for applied research-and-development, which focuses on integrating new technologies and research for cyber mission forces.
Financial terms of the transaction announced Wednesday were not disclosed, while Red River views the move as expanding its reach across sensitive missions.
The acquisition also brings to Red River a contract to work as lead integrator for the Joint Worldwide Intelligence Communications System, the federal government’s secure intranet for storing top secret information.
Under that potential eight-year contract, Invictus is working with the Defense Intelligence Agency to overhaul and modernize the system through cybersecurity and resilience enhancements. Invictus’ portfolio also includes programs at Marine Forces Cyber, Strategic Command, and the Army Intelligence and Security Command.
For Red River, this acquisition is its first since Cerberus acquired majority ownership of the company in 2021 and follows the appointment of board member Anthony Christie as chief executive in May.
KippsDeSanto & Co. was the financial adviser to Red River with Morgan, Lewis and Bockius LLP as the buy side legal adviser. Baird was financial adviser to Invictus, whose legal counsel was Miles & Stockbridge.
