ITC Federal to buy Capgemini's US federal subsidiary

ITC Federal has agreed to acquire the U.S. federal subsidiary of Capgemini and will use that as the foundational piece for a new digital solutions business unit, which will focus on modernization and transformation efforts.

Capgemini Government Solutions was first stood up in 2002 and its customer footprint covers agencies across the Defense, Homeland Security and Justice departments. CGS describes its core service lines as including IT strategy, application testing, digital transformation and methodology implementation.

In its Saturday announcement of the transaction, ITC said it is adding a portfolio of implementation services associated with the Salesforce and ServiceNow software platforms. Financial terms of the agreement were not disclosed.

“Bringing Capgemini Government Solutions into ITC strengthens our ability to deliver to our national security customers while giving us new depth in digital services, data analytics and enterprise platforms our federal partners rely on every day,” ITC CEO Greg Fitzgerald said in a release.

CGS also provides cloud modernization and DataBricks-based engineering services to agencies.

Capgemini separately said it expects to close the transaction “in the coming weeks” and that CGS represented 0.4% of the corporation’s global 2025 revenue, as well as less than 2% of the U.S. sales mix. In February, Capgemini first announced its plan to divest CGS after France’s government started to pressure the company for more details about the subsidiary’s U.S. federal work.

For ITC, this agreement follows its Sept. 1 acquisition of a classified mobility and communications business from Apriva. The Apriva SSS division provides secure gateway and virtual private network solutions to agencies in the national security and law enforcement communities.
